Beta Program — Peer-to-Peer Architecture

This document constitutes a binding legal agreement between the end user ("User") and the owner and developer of the mtrxAI platform, operating as a private individual ("Operator"; contact: [email protected]).

Registration on the platform, installation of the client software, or any use — even partial — of the coordination and processing services ("Service") constitutes full and unconditional acceptance of the terms below. If you do not agree with any part of these terms, you must immediately stop using the Service and uninstall all related components.

IMPORTANT — SERVICE NATURE, BETA PROGRAM & P2P NETWORK

The Platform is currently released as an experimental Beta version. By registering for the Service, you acknowledge that the software may exhibit instability and data loss.

The Service is built on a Peer-to-Peer (P2P) architecture for sharing AI compute resources. Consequently, any data, code, or information you submit for processing will be transmitted and may be accessible, viewable, or stored by other nodes and users on the network.

It is strictly prohibited to use the Service to process sensitive data, personal data regulated by the GDPR, confidential information, or trade secrets. You assume full civil and criminal responsibility for the data you submit, releasing the Operator from any liability in the event of a data breach, interception, or unauthorized disclosure of data by third parties.

By using the Service, you expressly acknowledge and agree that:

Part I — Terms of Service

Art. 1 — Beta Program & Service Nature

1.1. The Service consists of an experimental platform for the distributed sharing and optimization of compute resources dedicated to Artificial Intelligence (AI) workloads.

1.2. The User acknowledges and accepts that the Service is released exclusively in "BETA" version. The infrastructure, software code, and routing systems are provided in their current state, "as-is" and "as-available."

1.3. The Operator provides no express or implied warranty regarding the continuity of the Service, the absence of errors, bugs, malfunctions, or the information security of the P2P network. The User participates at their own expense and risk.

1.4. The Operator reserves the right to modify, suspend, or discontinue the Service at any time, without prior notice and without any obligation of compensation or indemnification.

1.5. The Operator excludes any obligation of service continuity or data safety during the testing phase. The User accepts that malfunctions of the software during the Beta phase may cause direct or indirect damage for which the Operator shall not be held liable.

1.6. Beta Participation Acknowledgment. The User expressly declares to be aware of participating in a Beta program and accepts that the Service is provided for testing and evaluation purposes only. The User rejects, waives, and declines any claim against the Operator, maintainers, developers, or technical service providers for failures, defects, unavailability, data loss, security incidents, or any direct or indirect harm connected to use of the Beta Service. This waiver applies to the maximum extent permitted by applicable law and survives termination of use.

Art. 2 — P2P Architecture & Data Handling

2.1. The Service is based on a decentralized Peer-to-Peer (P2P) technical architecture. The User is aware and accepts that data, prompts, code, models, and compute workloads submitted to the platform will be fragmented, transmitted, and processed — temporarily or permanently — on hardware and infrastructure owned by other users of the network (Peers).

2.2. The Operator acts solely as a technical provider of the central coordination algorithm and exercises no physical, technical, or logical control over the individual nodes of the network managed by users. Consequently, the Operator cannot guarantee the confidentiality, integrity, or absolute isolation of data in transit.

2.3. PROHIBITION ON TRANSMISSION OF RESTRICTED DATA: It is strictly forbidden for the User to insert, upload, or process through the Service:

  • Personal data regulated by EU Regulation 2016/679 (GDPR)
  • Sensitive or special-category data (e.g., health, financial, judicial data)
  • Trade secrets or information covered by corporate or professional confidentiality obligations

2.4. The User is solely responsible for the nature and lawfulness of the data submitted. In the event of a violation of this article, the User agrees to indemnify and hold harmless the Operator from any penalty, claim for damages, legal expense, or harm arising from the dissemination, interception, or loss of such data within the P2P network.

Art. 3 — Acceptable Use Policy

3.1. Compute power obtained through the network must be used exclusively for lawful, ethical, and research purposes. The following uses are strictly prohibited:

  • Cyberattacks, including Denial of Service (DDoS) attacks
  • Unauthorized vulnerability scanning (port scanning) of third-party networks
  • Password cracking, brute-forcing, or phishing
  • Development, testing, hosting, or distribution of malware, ransomware, spyware, viruses, or malicious code
  • Unauthorized cryptocurrency mining, unless explicitly provided and regulated as a platform feature
  • Processing or generation of illegal, child sexual abuse material (CSAM), discriminatory, violence-inciting, or hate-promoting content
  • Processing or generation of content that infringes the intellectual or industrial property rights of third parties

3.2. The Operator reserves the right to immediately and without prior notice terminate compute processes deemed suspicious or anomalous, ban the responsible account, and actively cooperate with competent judicial authorities by providing all available tracking data (e.g., IP addresses, connection logs).

3.3. The Operator may monitor network flows to detect misuse and will report criminal use of compute resources to the relevant authorities when detected.

Art. 4 — Resource Providers (Node Operators)

Users who choose to configure and make available their hardware infrastructure (CPU, GPU, RAM, bandwidth) act as "Resource Providers" and accept the following terms:

4.1. Voluntariness & No Compensation: Making hardware available occurs on a fully voluntary and free basis for Beta testing purposes. No economic or monetary compensation is provided, except for any experimental internal "credit" systems with no real-world value. This does not constitute any employment, subordination, agency, or corporate partnership relationship between the Resource Provider and the Operator.

4.2. Hardware Risk: The Resource Provider is exclusively responsible for the maintenance, stability, and information security of their machine. The Operator is exempt from any liability for energy costs, component wear, overheating, hardware failures, internet line interruptions, or elevated energy costs arising from the execution of AI workloads distributed by the platform.

4.3. Prohibition on Interception: It is strictly forbidden for the Resource Provider to alter the client software in order to intercept, monitor, decrypt, copy, or permanently store compute data sent by other users transiting through their node. The software must be run as provided, without modifications intended to spy on compute traffic. Violation of this clause results in immediate access revocation and direct liability toward affected users.

4.4. Node Neutrality: The Resource Provider acknowledges that workloads are distributed automatically by the platform and that they have no control or editorial visibility over what their machine is processing. Therefore, the Resource Provider shall not be held civilly or criminally liable if their node unknowingly processes illicit input generated by another user, whose responsibility remains entirely with the party that originated the compute request.

Art. 4-bis — Internal Credits ("Tokens")

4-bis.1. To ensure fair distribution and sustainability of compute resources within the P2P network, the Platform uses an internal accounting system based on credits called "Tokens."

4-bis.2. NATURE OF TOKENS: Tokens constitute a purely technical metric for measuring energy and computational exchanges on the network. Tokens have no monetary, economic, or commercial value. They are not purchasable with real currency, not sellable, not transferable outside the Platform, and cannot be converted into money or other goods.

4-bis.3. GENERATION & CONSUMPTION:

  • The User generates Tokens when acting as a Resource Provider, allowing other users to run AI computations on their hardware.
  • The User consumes Tokens when requesting compute power from the network to run their own AI workloads on third-party hardware.

4-bis.4. NEGATIVE BALANCE LIMITATIONS: The Operator reserves the unrestricted right to monitor Token balances. If a User presents a negative balance (having consumed more compute resources than provided to the network, exceeding platform tolerance thresholds), the Operator may automatically limit, suspend, or block the User's ability to request new AI computations until a positive balance is restored through the provision of new hardware resources.

4-bis.5. NO GUARANTEES OR REFUNDS: The Operator provides no guarantee regarding the stability, availability, or effective spendability of Tokens within the Platform. In the event of Service interruption, technical malfunctions, data loss, database reset, or definitive closure of the Platform (during or after the Beta phase), all Tokens accumulated by Users will be permanently deleted. The User accepts that under no circumstances may they request financial refunds, indemnities, or compensation of any kind for the loss of Tokens or the inability to use them.

Art. 5 — Intellectual Property & AI Model Rights

5.1. The Operator claims no ownership or industrial property rights over AI models, weights, datasets, or outputs generated by Users through the platform. These remain the exclusive property of the User who initiated the computation, within the limits and in compliance with applicable open-source licenses of the original models.

5.2. The User grants the Operator and the P2P infrastructure a technical, temporary, free, and limited license solely for the purpose of reproducing, transmitting, and processing data and models to execute the requested computation.

5.3. The User warrants that they hold adequate rights or licenses for the use of models or datasets uploaded and indemnifies the Operator from any third-party claims for patent, trademark, or copyright infringement.

Art. 6 — Limitation of Liability

6.1. The Operator's liability for any dispute related to use of the platform is limited to a maximum of €0.00, or to the amount actually paid by the User for the Service (presumably zero during the Beta phase).

6.2. The Operator functions solely as a technical provider of the coordination infrastructure and is not responsible for the unlawful use of compute power by users (e.g., training AI for illegal purposes, malware, generation of copyright-protected content).

6.3. The User accepts participation at their own expense and risk. The Operator shall not be liable for direct or indirect damages caused by software malfunctions during the testing phase.

6.4. No marketing materials, website content, documentation, or communications about the Service — whether published by the Operator or third parties — create warranties, guarantees, or obligations beyond those expressly stated in these Terms. The Beta participation acknowledgment in the Important notice and Art. 1.6 applies to all use of the Service.


Part II — Privacy Policy (GDPR Art. 13)

Pursuant to Article 13 of EU Regulation 2016/679 (GDPR), personal data processing within this platform is guided by the principles of fairness, lawfulness, transparency, and data minimization.

Data processing is managed on a private basis by the developer of the platform, contactable at: [email protected].

2. Data Collected & Purposes

The Controller collects and processes exclusively the following technical data, strictly necessary for the provision and optimization of the Service:

Email address Collected at registration for account creation, user authentication, and strictly technical communications regarding Beta status and maintenance.
IP address Detected at connection time. Used exclusively for approximate geolocation to optimize P2P network routing by connecting the User to geographically closer Peers, reducing network latency.
Hardware specifications (CPU/GPU model, VRAM, RAM) Detected at node connection. Used to map available resources and distribute AI workloads efficiently to compatible nodes only.

4. P2P Data Sharing

The User acknowledges that, due to the technological nature of the Peer-to-Peer protocol, their IP address and hardware specifications will necessarily be visible to other nodes (Peers) on the network with which their device establishes a direct connection for compute data exchange. The User's email address remains reserved within the central coordination database and will never be shared with other users.

5. Retention & Your Rights

Data will be retained only for the time strictly necessary to manage the Beta program.

You may exercise your GDPR rights at any time (access, rectification, erasure/right to be forgotten, restriction of processing) by sending a written request to [email protected]. A deletion request results in immediate account closure, removal of your email and IP from central systems, and immediate exclusion from the P2P network.
